CHAPTER I - CAPÍTULO I -
OF THE DENOMINATION, HEADQUARTERS AND ENDS SEDE da denominação, e termina

Art.1º - the Institute of Education Research, Extension and Culture, is an entity of private law, also assigned for acronym, INESPEC, established in first of May of the year of 2007, is a civil society, without economic ends, that duration for indeterminate time will have, headquarters in the City of , State of the Ceará, in the street Dr. August Fernando, 873 - House II, quarter Amaro Saint, CEP 60.540.260. Art.1 º - Instituto de Educação e Pesquisa, Extensão e Cultura, é uma entidade de direito privado, também atribuído a sigla, INESPEC, com sede em primeiro de maio do ano de 2007, é uma sociedade civil, sem fins econômicos, que a duração por tempo indeterminado terão, a sede na Cidade de, Estado do Ceará, na rua Dr. Fernando agosto, 873 - Casa II, bairro Santo Amaro, CEP 60.540.260.

Art.2º - the Institute of Education Research, Extension and Culture has as objective main to keep institutions of education of levels: Art.2 º - Instituto de Educação e Pesquisa, Extensão e Cultura tem como objetivo principal manter instituições de ensino de níveis:
a) Medium; a) média;
b) Superior; b) Superior;
c) Specific projects of education, culture, extension and culture; c) Os projectos específicos de educação, cultura, extensão e cultura;
d) To keep organisms of defense of the diffuse interests of the civil society. d) Manter os organismos de defesa dos interesses difusos da sociedade civil.

Art.3º - In the development of its activities, the Institute of Education Research, Extension and Culture will not make any discrimination of race, color, sex or religion. Art.3 º - No desenvolvimento de suas atividades, o Instituto de Educação e Pesquisa, Extensão e Cultura não fará qualquer discriminação de raça, cor, sexo ou religião.

Art.4º - the Institute of Education Research, Extension and Culture will have an Internal regulation, that approved for the General meeting, will discipline its functioning. Art.4 º - Instituto de Educação e Pesquisa, Extensão e Cultura terá um Regimento Interno, que aprovado pela Assembléia Geral, a disciplina será o seu funcionamento.

Art.5º - In order to fulfill to its (s) purpose (s), the Institute of Education Research, Extension and Culture will be able to be organized in as many units of rendering of services, how many if to make necessary, which will be conducted for its Internal regulation, for the Internal regulation of the Institute of Education Research, Extension and Culture, Art.5 º - A fim de cumprir a sua (s) efeito (s), do Instituto de Educação e Pesquisa, Extensão e Cultura será capaz de se organizar em tantas unidades de prestação de serviços, quantas se fizerem necessárias, o que será conduzida por seu regulamento interno, do regulamento interno do Instituto de Educação e Pesquisa, Extensão e Cultura,

CHAPTER II CAPÍTULO II
OF THE ASSOCIATES Dos associados

Art.6º - the Institute of Education Research, Extension and Culture is constituted by limitless number of associates, who will be admitted, the judgment of the executive direction, amongst idoneous people. Art.6 º - Instituto de Educação e Pesquisa, Extensão e Cultura é constituída por número ilimitado de associados, que serão admitidos, a juízo da Diretoria Executiva, dentre pessoas idôneas.

Art. Arte. 7º - In the Institute of Education Research, Extension and Culture It will have the following categories of associates: 7 º - No Instituto de Educação e Pesquisa, Extensão e Cultura ", terá as seguintes categorias de associados:

1) - Founding, the ones that to sign the act of foundation of the Institute of Education Research, Extension and Culture; 1) - Fundadores, os que de assinar o acto de fundação do Instituto de Educação e Pesquisa, Extensão e Cultura;

2) - Meritorious those to which the General meeting to confer this distinction, spontaneously or for proposal of the executive direction, in virtue of the excellent services given to the Institute of Education Research, Extension and Culture; 2) - Beneméritos aqueles aos quais a Assembléia Geral conferir esta distinção, espontaneamente ou por proposta da Diretoria Executiva, em virtude dos excelentes serviços dado ao Instituto de Educação e Pesquisa, Extensão e Cultura;

3) - Honorary those that if to make creditors of this homage for services of notoriety given to the Institute of Education Research, Extension and Culture, for proposal of the executive direction to the General meeting; 3) - Honorários aqueles que se fizerem credores dessa homenagem por serviços de notoriedade dada ao Instituto de Educação e Pesquisa, Extensão e Cultura, por proposta da Diretoria Executiva da Assembléia Geral;

4) - Contributing the ones that to pay to the Institute of Education Research, Extension and Culture the monthly fee established for the Executive Direction, for maintenance of its objectives; 4) - Contribuir para os que pagar ao Instituto de Educação e Pesquisa, Extensão e Cultura da mensalidade estabelecida pela Diretoria Executiva, para a manutenção de seus objetivos;

Art. Arte. 8º - They are right of the founding associates of the Institute of Education Research, Extension and Culture, when quit with its social obligations: 8 º - São direitos dos sócios fundadores do Instituto de Educação e Pesquisa, Extensão e Cultura, quando saia com suas obrigações sociais:

I - to vote and to be voted for the elective offices; I - para votar e ser votado para os cargos eletivos;

II - to take part in the general meetings. II - tomar parte nas assembleias gerais.

Only paragraph. Parágrafo único. The meritorious and honorary associates will not have right the vote and nor they could be voted. Os associados benemérito e honorário não terá direito a voto e nem poderão ser votados.

Art. Arte. 9º - They are duties of the associates of the Institute of Education Research, Extension and Culture: 9 º - São direitos dos associados do Instituto de Educação e Pesquisa, Extensão e Cultura:

I - to fulfill statutory and regimental the disposals; I - para o cumprimento legal e regimental das cessões;

II - to accept the determination of the Direction. II - aceitar a determinação da direção.

Only paragraph. Parágrafo único. Having joust cause, the associate could be dismissed or excluded of the Institute of Education Research, Extension and Culture for decision of the executive direction, after the right of action of defense, and this decision will fit resource to the general meeting in the maximum stated period of 15 (fifteen) days. Tendo em justa causa, o associado poderá ser demitido ou excluído do Instituto de Educação e Pesquisa, Extensão e Cultura, para decisão da Diretoria Executiva, após o direito de recurso da defesa, e esta decisão caberá recurso para a assembleia geral o limite máximo estabelecido dias do período de 15 (quinze).

Art. Arte. 10 - The associates of the Institute of Education Research, Extension and Culture do not answer, not even subsidiarily, for the obligations and social changes of the institution. 10 - Os associados do Instituto de Educação e Pesquisa, Extensão e Cultura não respondem, nem mesmo subsidiariamente, pelas obrigações e as mudanças sociais da instituição.

CHAPTER III CAPÍTULO III
OF THE ADMINISTRATION DA ADMINISTRAÇÃO

Art. Arte. 11 - The Institute of Education Research, Extension and Culture will be managed by: 11 - O Instituto de Educação e Pesquisa, Extensão e Cultura será gerido por:

I - General meeting; I - Assembléia Geral;

II - Executive direction; II - Diretoria Executiva;

III - Advice of Custodians. III - Conselhos de Curadores.

Art. Arte. 12 - The General meeting, sovereign agency of the institution, will consist of the founding associates in full joy of its statutory rights. 12 - A Assembléia Geral, órgão soberano da instituição, será constituída dos sócios fundadores em pleno gozo de seus direitos estatutários.

Art. Arte. 13 - It competes to the General meeting: 13 - Compete à assembleia geral:

I - to choose the Executive Direction and the Advice of Custodian; I - a escolha da Diretoria Executiva e os Conselhos de custódia;

II - to dismiss the administrators; II - de demitir os administradores;

III - to appreciate resources against decisions of the executive direction; III - apreciar recursos contra decisões da Diretoria Executiva;

III - to decide on reforms of the Statute; III - decidir sobre reformas do Estatuto;

III - to grant the heading of meritorious and honorary associate for proposal of the direction; III - conceder o título de associado benemérito e honorário por proposta da direcção;

IV - to decide on the convenience to alienate, to transigir, to convey by mortgage or to exchange capital assets; IV - decidir sobre a conveniência de alienar, transigir com, para transmitir por hipoteca ou trocar bens de capital;

V - to decide on the extinguishing of the entity, in the terms of this statute; V - decidir sobre a extinção da entidade, nos termos do presente diploma;

VI - to approve the accounts; VI - aprovar as contas;

VII - to approve the internal regulation. VII - aprovar o regulamento interno.

Art. Arte. 14 - The General meeting will become fullfilled itself, usually, a time per year stops: 14 - A Assembléia Geral vai se realizar, normalmente, uma vez por ano pára:

I - to appreciate the annual report of the Executive Direction; I - apreciar o relatório anual da Diretoria Executiva;

II - to argue and to homologate the accounts and the rocking approved for the Advice of Custodians. II - discutir e homologar as contas eo balanço aprovado pelo conselho de Curadores.

Art. Arte. 15 - The General meeting will become fullfilled itself, extraordinary, when convoked: 15 - A Assembléia Geral vai se realizar, extraordinariamente, quando convocado:

I - for the president of the Executive Direction; I - para o presidente da Diretoria Executiva;

II - for the Executive Direction; II - pela Diretoria Executiva;

II - for the Advice of Custodians; II - para o Conselho de Curadores;

III - for petition of 1/5 of the quit founding associates with the social obligations. III - por requerimento de 1 / 5 dos associados fundadores sair com as obrigações sociais.

Art. Arte. 16 - The invocation of the General meeting will be made by means of proclamation affixed on the headquarters of the Institution, for circular or other convenient ways, with minimum antecedence of 15 (fifteen days). 16 - A convocação da Assembléia Geral será feita por meio de anúncio afixado na sede da Instituição, por circulares ou outros meios convenientes, com antecedência mínima de 15 (quinze dias).

Only paragraph - Any Assembly will install itself in first invocation with the majority of the associates and, in second invocation, with any number, not demanding the law special quorum. Parágrafo único - Qualquer Assembléia se instalará em primeira convocação com a maioria dos associados e, em segunda convocação, com qualquer número, não exigindo o quorum lei especial.

Art. Arte. 17 - The Executive Direction will be constituted by a President, a Vice-president, First and According to Secretaries. 17 - A Diretoria Executiva será constituída por um presidente, um vice-presidente, primeiro e segundo secretários.

Only paragraph - the mandate of the executive direction will be of 6 (six) years, being able to be led back of a consecutive re-election. Parágrafo único - o mandato da Diretoria Executiva será de 6 (seis) anos, podendo ser reconduzidos uma reeleição consecutiva.

Art. Arte. 18 - It competes to the Executive Direction: 18 - Compete à Diretoria Executiva:

I - to elaborate and to execute annual program of activities; I - elaborar e executar programa anual de actividades;

II - to elaborate and to present, to the General meeting, the annual report; II - elaborar e apresentar, à Assembléia Geral, o relatório anual;

III - to establish the value of the monthly fee for the contributing partners; III - estabelecer o valor da mensalidade para os sócios contribuintes;

IV - to entrosar itself with public and private institutions for mutual contribution in activities of common interest; IV - entrosar-se com instituições públicas e privadas para a participação mútua em atividades de interesse comum;

V - to contract and to fire employees; V - contratar e demitir funcionários;

VI - to convoke the general meeting; VI - a convocação da assembleia geral;

Art. Arte. 19 - The executive direction will at least congregate two times to the year. 19 - A Diretoria Executiva reunir-se pelo menos duas vezes ao ano.

Art. Arte. 20 - It competes to the President: 20 - Compete ao Presidente:

I - to represent the Institute of Education Research, Extension and active and, passively judicial Culture and extrajudicially; I - representar o Instituto de Educação e Pesquisa, Extensão e ativas e, Cultura passivamente judicial e extrajudicialmente;

II - to fulfill and to make to fulfill to this Statute and the Internal regulation; II - cumprir e fazer cumprir o presente Estatuto e no Regimento Interno;

III - to convoke and to preside over the General meeting: III - convocar e presidir a Assembléia Geral:

IV - to convoke and to preside over the meetings of the Direction; IV - convocar e presidir as reuniões da Diretoria;

V - to sign all the checks, drafts and headings that represent financial obligations of the Institute of Education Research, Extension and Culture. V - assinar todos os cheques, e os títulos que representam obrigações financeiras do Instituto de Educação e Pesquisa, Extensão e Cultura.

Art. Arte. 21 - It competes to the Vice-president: 21 - Compete ao Vice-Presidente:

I - to substitute the President in its lacks or impediments; I - substituir o Presidente nas suas faltas ou impedimentos;

II - to assume the mandate, in case of avoidance, until its ending; II - assumir o mandato, em caso de vacância, até seu término;

III - to give, in general way, its contribution to the President. III - prestar, de modo geral, a sua contribuição para o presidente.

Art. Arte. 22 - The First Secretary competes: 22 - O Primeiro Secretário compete:

I - to secretariar the meetings of the Direction and General meeting and to write acts; I - Secretariar as reuniões da Direcção e Assembleia Geral e escrever atos;

II - to publish all the notice of the activities of the entity. II - publicar todas as notícias das atividades da entidade.

Art. Arte. 23 - It competes to As the Secretary: 23 - Compete ao Secretário como:

I - to substitute the First Secretary in its lacks or impediments; I - substituir o Primeiro Secretário em suas faltas ou impedimentos;

II - to assume the mandate, in case of avoidance, until its ending; e II - assumir o mandato, em caso de vacância, até seu término; e

III - to give, in general way, its contribution to the first secretary. III - prestar, de modo geral, a sua contribuição para o primeiro secretário.

Art. Arte. 24 - The ability of the Advice of Custodians will be defined in the Internal regulation of the Institute of Education Research, Extension and Culture. 24 - A capacidade do Conselho de Curadores serão definidas no regulamento interno do Instituto de Educação e Pesquisa, Extensão e Cultura.
Art. Arte. 27 - It competes to the Advice of Custodians: 27 - Compete ao Conselho de Curadores:

I - to examine books of bookkeeping of the entity; I - examinar os livros de escrituração da entidade;

II to examine semester the temporary balance sheet presented, thinking the respect; II semestre de examinar o balanço provisório apresentado, pensando que o respeito;

III - to present prescription reports and expenditures, whenever they are requested. III - apresentar relatórios de receita e despesas, sempre que forem solicitadas.

IV - to think on the acquisition and alienation of good. IV - a pensar sobre a aquisição e alienação do bem.

Only paragraph - the Advice will usually congregate to each 6 (six) months and, extraordinary, whenever necessary. Parágrafo único - o conselho geralmente se reúnem a cada 6 (seis) meses e, extraordinariamente, sempre que necessário.

Art. Arte. 28 - The activities of the directors and council members, as well as the ones of the associates, will be entirely gratuitous, being to them forbidden the act of receiving of any profit, gratuity, bonification or advantage. 28 - As atividades dos diretores e membros do conselho, bem como as dos associados, serão inteiramente gratuitas, sendo-lhes vedado o recebimento de qualquer lucro, gratificação, bonificação ou vantagem.

Art. Arte. 29 - The professional activities for the maintenance of the objectives of the Institute of Education Research, Extension and Culture will be remunerated in accordance with the respective project approved for the executive direction, and not if confude with the prohibition foreseen in the previous article. 29 - As atividades de profissionais para a manutenção dos objectivos do Instituto de Educação e Pesquisa, Extensão e Cultura serão remunerados de acordo com o respectivo projecto aprovado pela Diretoria Executiva, e não se confude com a proibição prevista no artigo anterior.

Art. Arte. 30 - The Association will be remained through contributions of the associates and other activities, being that these incomes, resources and eventual resulted operational will be applied integrally in the maintenance and development of the institucional objectives, in the domestic territory. 30 - A Associação será manteve através das contribuições dos associados e outras atividades, sendo que essas rendas, recursos e eventual resultado operacional serão aplicados integralmente na manutenção e desenvolvimento dos objetivos institucionais, no território nacional.

CHAPTER IV CAPÍTULO IV
THE PATRIMONY DO PATRIMÔNIO

Art. Arte. 31 - The patrimony of the Institute of Education Research, Extension and Culture will be constituted of goods and chattel, immovable, vehicles, self-moving, action and policies of public debt. 31 - O patrimônio do Instituto de Educação e Pesquisa, de Extensão e Cultura será constituído de bens móveis, imóveis, veículos, auto-movimento, ação e políticas da dívida pública.

Art. Arte. 32 - In the case of dissolution of the Institution, the remaining goods will be destined to another institution same type, with corporate entity, that is registered in the National Advice of Social Assistance - CNAS or Public entity, after to seem of the executive direction of the Institute of Education Research, Extension and Culture. 32 - Em caso de dissolução da Instituição, os bens remanescentes serão destinados a outra instituição de mesmo tipo, com identificação da empresa, que está registrado no Conselho Nacional de Assistência Social - CNAS ou entidade pública, após parecer da Diretoria Executiva do Instituto de Pesquisa em Educação, Extensão e Cultura.

CHAPTER V CAPÍTULO V
OF THE GENERAL DISPOSALS Das cessões GERAIS

Art. Arte. 33 - The Institute of Education Research, Extension and Culture will be dissolved by decision of the Extraordinary General meeting, especially convoked for this end, when to become impossible the continuation of its activities. 33 - O Instituto de Educação e Pesquisa, Extensão e Cultura será dissolvido por decisão da Assembléia Geral Extraordinária, especialmente convocada para este fim, quando se tornar impossível a continuação de suas atividades.

Art. Arte. 34 - The present statute could be remodelled, in any time, for decision of 2/3 (two terços) of the gifts to the general meeting especially convoked for this end, not being able it to deliberate, in first invocation, without the absolute majority of the associates, or with less than 1/3 (one terço) in the following invocations, and will enter in vigor in the date of its register in notary's office. 34 - O presente estatuto poderá ser reformado, em qualquer momento, por decisão de 2 / 3 (dois terços) dos presentes à assembléia geral especialmente convocada para esse fim, não podendo ela deliberar, em primeira convocação, sem o absoluto maioria dos associados, ou com menos de 1 / 3 (um terço) nas chamadas seguintes, e entrará em vigor na data de seu registro em cartório.

Art. Arte. 35 - The omissive cases will be decided by the Executive Direction and authenticated by the General meeting. 35 - Os casos omissos serão decididos pela Diretoria Executiva e autenticado pela assembleia geral.

Art. Arte. 36 - The present statute was approved by the carried through general meeting in day 10 of May of 2007, and after enters in vigor its publication in the Internet in the site of the entity. 36 º - O presente estatuto foi aprovado pela entrada assembleia geral realizada no dia 10 de maio de 2007, e em vigor após sua publicação na Internet no site da entidade.
